Influence of MNC Legitimacy on Control Strategy of Subsidiaries After M & A

摘要: 基于制度理论和组织生态理论,在跨国公司(MNC)子公司面临制度和竞争的双重压力下,研究了MNC合法性与MNC子公司控制之间的关系.通过对装备制造业和高技术服务业调查问卷的样本数据发现:MNC合法性与子公司股权比例、外派人员比例之间的关系受竞争的调节作用影响,即随着合法性的增加,对于竞争不激烈的子公司(小规模的子公司),MNC更倾向于增加股权比例和外派人员比例;而对于竞争激烈的子公司(大规模的子公司),MNC更倾向于减少股权比例和外派人员比例.

Abstract: Under dual pressure of institution and competition, the relation between MNC legitimacy and MNC subsidiaries control was studied on the basis of the institution and organizational ecologies. The questionnaire sample data of equipment manufacturing industry and high-tech service industry showed that the relations between MNC legitimacy and subsidiary ownership ratio, expatriate staffing ratio were influenced by competition. With the increase of legitimacy, MNC tends to increase the ownership ratio and expatriate staffing ratio for the less fierce competition subsidiaries (smaller subsidiaries), while MNC tends to reduce the ownership ratio and expatriate staffing ratio for the fierce competition subsidiaries (large subsidiaries).
